Terms of Service

1. The Service

Motivation Minders provides a subscription-based service that delivers motivational text messages (SMS) to the mobile telephone number you designate, generally once per day at or around the time you select. Content is provided for general encouragement and informational purposes only.

The Service does not provide medical, mental health, therapeutic, or other professional advice and does not create a physician-patient, therapist-client, or other professional relationship. If you are in crisis or require immediate assistance, contact emergency services or a qualified professional.

2. Eligibility

You must be at least eighteen (18) years of age and capable of entering a binding contract to use the Service. By subscribing, you represent and warrant that you are the subscriber or authorized user of the mobile telephone number you provide and that all information you submit is accurate and complete.

3. Account and subscription

To subscribe, you provide your mobile telephone number, timezone, preferred delivery time, and affirmative consent to receive SMS messages. You complete checkout through our third-party payment processor, Stripe, Inc., for a recurring subscription at the price displayed at the time of purchase.

We collect the email address associated with your checkout transaction to administer your subscription, provide account-management communications, and respond to support inquiries. You may access certain subscription settings, including delivery preferences and telephone number updates, through our account management portal at /manage.

Subscriptions renew automatically each billing period until canceled in accordance with these Terms. You authorize the Company and its payment processor to charge your designated payment method on a recurring basis. Billing, receipts, and payment-method updates are processed through Stripe in accordance with Stripe's terms and policies.

4. SMS program terms

By opting in, you consent to receive automated, recurring SMS messages from Motivation Minders at the mobile telephone number you provided. Message frequency is typically one (1) message per day. Message and data rates may apply according to your carrier plan.

You may cancel SMS delivery and your subscription at any time by replying STOP to any message, through the account management portal, or by contacting us at [email protected]. For assistance, reply HELP or email [email protected].

Mobile carriers are not liable for delayed or undelivered messages. Delivery depends on your carrier, device, and network conditions. We do not guarantee delivery at any specific minute within your selected delivery window.

5. Cancellation and refunds

You may cancel your subscription at any time by replying STOP, using the account management portal, or contacting us at [email protected]. Cancellation stops future messages and recurring billing but does not automatically entitle you to a refund of amounts already charged.

Except where required by applicable law, fees are non-refundable once a billing period has commenced. If you believe a charge was made in error, contact us within fourteen (14) days at [email protected] and we will review your request in good faith.

6. Acceptable use

You agree not to:

• Provide a mobile telephone number you do not own or lack authority to use
• Interfere with, disrupt, scrape, reverse engineer, or attempt to gain unauthorized access to the Service
• Use the Service for unlawful purposes or in violation of these Terms
• Resell, redistribute, or commercially exploit messages or content without our prior written consent

7. Intellectual property

The Service, including its name, branding, website, software, and message content (except as otherwise noted), is owned by the Company or its licensors and is protected by applicable intellectual property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to receive messages as an active subscriber. No other rights are granted.

8. Disclaimer of warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE COMPANY OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SERVICE PROVIDERS (INCLUDING PAYMENT AND MESSAGING VENDORS) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE LESSER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

10. Changes

We may modify these Terms or the Service from time to time. We will post the updated Terms on this page and revise the "Last updated" date. Where required or appropriate, we may provide additional notice of material changes by SMS, email, or other reasonable means. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of those Terms.

11. Governing law and dispute resolution

These Terms are governed by the laws of the United States and the state in which Motivation Minders is organized, without regard to conflict-of-law principles. Except where prohibited by applicable law, you agree that any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in that state, and you consent to personal jurisdiction in such courts.
